1. Acceptance of Terms

Authority RevUp is a service owned and operated by Tech Torque Inc, a Delaware corporation (“Tech Torque”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the Authority RevUp website, membership, licence, and related digital services (collectively, the “Service”).

By accessing or using the Service, creating an account, or purchasing an Authority RevUp membership or licence, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

We may update these Terms periodically. The “Last Updated” date reflects when changes were made. Your continued use of the Service indicates acceptance of any updates.

2. About Authority RevUp and Tech Torque Inc

Authority RevUp provides digital training, tools, strategies, and content designed to help users build authority and improve their marketing and business outcomes. These materials may include online modules, templates, frameworks, live or recorded calls, community access, and other digital products.

Authority RevUp is not a legal, financial, tax, or professional advisory service. You acknowledge that any guidance or material provided is general in nature and not a substitute for professional advice.

3. Eligibility

The Service is intended for individuals aged 18 years or older. By using the Service, you represent and warrant that you are at least 18 and legally permitted to enter into these Terms.

You agree to comply with all applicable laws and regulations when using the Service.

4. Accounts and Security

To access Authority RevUp features, we may require you to create an account through our website, Skool, or other authorised third-party platforms.

You agree to provide true, current, and complete information when creating your account and to keep this information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

If you believe your account has been compromised, you must notify us promptly. We reserve the right to suspend or terminate accounts for any breach of these Terms or for suspicious or unlawful behaviour.

5. Memberships, Licences, and Payments

Authority RevUp is offered through paid memberships and licences (“Subscriptions”). Details of Subscription features, billing periods, and pricing will be communicated at the time of purchase.

By purchasing a Subscription, you authorise us and our payment processors (including Stripe and ThriveCart) to charge your selected payment method for all applicable fees, including recurring charges where your Subscription auto-renews.

Auto-renewal will continue unless you cancel in accordance with Section 6. You are responsible for keeping your payment information current.

We may adjust pricing or Subscription inclusions from time to time, with changes applying to new purchases and renewals.

6. Cancellations and Refund Policy

All payments are final. We do not offer refunds under any circumstances.

You may cancel your Subscription at any time. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that time.

Cancelling stops future billing but does not entitle you to any refund or credit for past or partial billing periods.

We reserve the right to suspend or terminate your Subscription or access to the Service where you fail to pay fees when due or breach these Terms.

7. Delivery and Fulfilment

Authority RevUp provides digital services only. No physical goods are shipped.

Upon purchase, access to content, accounts, community areas, or schedules is delivered via online platforms such as Skool, WordPress, or other systems used by us. You are responsible for ensuring you have the necessary internet access, hardware, and software to use the Service.

8. Use of the Service

You may use the Service solely for your personal or internal business purposes. You must not:

  • Share your login credentials with unauthorised persons

  • Provide access to the Service to others outside your organisation without written consent

  • Copy, distribute, modify, or create derivative works from the Service, except as reasonably required to apply frameworks in your own business

  • Reverse-engineer, scrape, interfere with, or disrupt the Service

  • Use the Service for unlawful purposes or in violation of these Terms

We reserve the right to monitor usage and take action (including suspension and termination) where misuse or breach is detected.

9. Intellectual Property

All content, materials, software, designs, logos, templates, frameworks, text, videos, training modules, and other assets provided through the Service (“Authority RevUp IP”) are the exclusive property of Tech Torque Inc or its licensors.

Nothing in these Terms transfers ownership of Authority RevUp IP to you. You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the materials for your internal purposes only, subject to compliance with these Terms.

You may not use our trade names, logos, or trademarks without written permission.

If you provide feedback, ideas, or suggestions (“Feedback”), you agree that we may use such Feedback freely without obligation or compensation to you.

10. User Content

You may submit content such as comments, posts, or messages (“User Content”), including within our community platforms.

You are solely responsible for your User Content and must not submit anything unlawful, defamatory, harmful, or infringing. You confirm that you have all required rights to post such content.

By submitting User Content, you grant Tech Torque a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and adapt your content for purposes of operating and improving the Service.

We may moderate, remove, or restrict User Content at our discretion.

11. Third-Party Services

The Service integrates with third-party platforms.  Your use of third-party tools is governed by their own terms and privacy policies. We are not liable for third-party service failures, errors, or data handling.

12. No Guarantees of Performance or Results

Authority RevUp provides strategies, tools, and training intended to support business growth. However, results vary widely based on individual effort, market conditions, and external factors beyond our control.

We do not guarantee specific outcomes, revenue, customer acquisition, or performance metrics. You acknowledge that your use of the Service is at your own discretion and risk.

13. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will operate uninterrupted, error-free, secure, or free from harmful components.

Any materials accessed or downloaded through the Service are obtained at your own risk.

Nothing in these Terms excludes rights that cannot be excluded under applicable law.

14. Limitation of Liability

To the fullest extent permitted by law, Tech Torque Inc and its officers, directors, employees, contractors, and agents are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to your use of the Service. This includes, without limitation, loss of revenue, profits, data, goodwill, or business interruption.

Our total aggregate liability for all claims arising from or related to the Service will not exceed the total amount you paid to us in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by law.

15. Indemnification

You agree to indemnify and hold harmless Tech Torque Inc and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of or related to your use of the Service, your User Content, your breach of these Terms, or your violation of any rights or laws.

16. Sanctions and Export Restrictions

You may not use the Service if doing so would violate U.S. export control laws or sanctions. You are responsible for ensuring your use complies with all applicable restrictions.

17. Governing Law and Jurisdiction

These Terms and your use of the Service are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Service shall be heard exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.

This combination (Delaware law + New Jersey venue) is standard for Delaware-incorporated companies operating physically elsewhere.

18. Modification and Severability

We may modify these Terms from time to time by posting an updated version on our website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If any provision of these Terms is deemed invalid or unenforceable, the remainder will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional purchase terms, form the entire agreement between you and Tech Torque Inc regarding the Service and supersede all prior agreements or understandings.
